General Terms and Conditions of Sale

Distance sales to consumers — Legislative Decree 206/2005

These General Terms and Conditions of Sale govern the sale of products offered through the e-commerce website manilagrace.com and apply to all distance contracts concluded between the seller and the consumer.

1. Seller

The seller is AC Creativity S.r.l., with registered office in Via Gaetano Ferraiolo n. 62, 80047 San Giuseppe Vesuviano (NA), Tax Code/VAT number 08332271215, in the person of its legal representative Mr. Antonio Casillo (hereinafter also the “Owner” or the “Company”).

2. Scope of application

These conditions apply to sales to consumers pursuant to Legislative Decree 206/2005 ("Consumer Code"), where a consumer is understood as a natural person who acts for purposes unrelated to any business, commercial, craft or professional activity carried out.

3. Pre-contractual information

Pursuant to Art. 49 of the Consumer Code, the essential characteristics of the products are indicated in their respective datasheets; prices are expressed in euros and are inclusive of VAT; delivery costs are indicated before the order is concluded. The consumer has the right of withdrawal and the related online withdrawal function, described in Article 8 and accessible in the account's order area, as well as the legal guarantee of conformity referred to in Article 9.

4. Conclusion of the contract

The contract is concluded with the consumer's order submission and the seller's subsequent confirmation via summary email. The order constitutes a contractual proposal; the seller reserves the right not to proceed with incomplete orders or in case of product unavailability, providing prompt notification.

5. Prices and payments

The prices applied are those indicated on the Website at the time of order. Payments are managed via Shopify Payments (credit/debit cards and wallets, including Apple Pay, Google Pay, Shop Pay and Klarna), PayPal and bank transfer. Payment data is processed directly by the service providers and is not stored by the seller.

6. Shipping and delivery

Shipments are made via BRT S.p.A. for Italy and UPS for abroad. Shipping costs are Euro 7.00 for Italy (free for orders over Euro 150.00), Euro 15.00 for the European Union (free for orders over Euro 250.00) and Euro 35.00 for non-EU countries (free for orders over Euro 400.00). Orders are usually processed within 48 business hours. For non-EU shipments, any customs duties and charges are the responsibility of the recipient.

7. Legal guarantee of conformity

Products are covered by the legal guarantee of conformity provided for by articles 128 et seq. of the Consumer Code, as reformed by Legislative Decree 170/2021. The seller is liable for defects of conformity that appear within twenty-four months from the delivery of the goods; for defects that appear within twelve months from delivery, it is presumed, unless proven otherwise, that they already existed at that date. The consumer has the right, at no cost, to have the conformity restored by repair or replacement and, in cases provided for by law, to a price reduction or termination of the contract. The action lapses within twenty-six months from delivery.

8. Right of withdrawal

The consumer has the right to withdraw from the contract, without stating any reasons, within fourteen days from the day on which they acquire physical possession of the goods, pursuant to Articles 52 et seq. of the Consumer Code.

Pursuant to Art. 54-bis of the Consumer Code (introduced by Legislative Decree 209/2025), the consumer may exercise the right of withdrawal using the dedicated online withdrawal function "Withdraw from the contract here", available in the account's order area for the entire withdrawal period, which allows the declaration of withdrawal to be submitted in two steps; following confirmation, the consumer immediately receives, on a durable medium, a receipt attesting to the date and time of the successful exercise of the right of withdrawal. The possibility of exercising the right of withdrawal by any explicit declaration, including using the standard form referred to in Annex I, Part B, of the Consumer Code, remains unaffected.

Following withdrawal, the seller will reimburse all payments received, including standard delivery costs, within fourteen days, with the right to withhold reimbursement until receipt of the goods or proof of their dispatch. The direct costs of returning the goods are borne by the consumer, pursuant to Art. 57 of the Consumer Code, according to the amount indicated at the time of purchase. The consumer is only liable for any diminished value of the goods resulting from the handling other than what is necessary to establish their nature, characteristics and functioning. The right of withdrawal is excluded, pursuant to Art. 59 of the Consumer Code, for tailor-made or personalised goods and in other cases provided therein.

9. Dispute resolution

For dispute resolution, the consumer can resort to competent alternative dispute resolution (ADR) bodies. For cross-border disputes relating to online purchases, the consumer can contact the network of European Consumer Centres (ECC-Net). It is noted that the European online dispute resolution (ODR) platform has been discontinued and the related Regulation (EU) 524/2013 has been repealed.

10. Applicable law and competent court

Contracts are governed by Italian law. For consumers residing in other European Union countries, the mandatory protective provisions provided for by the law of the country of habitual residence remain valid, pursuant to Art. 6 of Regulation (EC) 593/2008 (Rome I). For any dispute, the court of the place of residence or elective domicile of the consumer shall have exclusive and mandatory jurisdiction, pursuant to Art. 66-bis of the Consumer Code.

11. Amendments

The seller reserves the right to amend these conditions; the conditions in force at the time of the order shall apply.
